Please read these Terms carefully before using Cali. By using the service you agree to be bound by them.

Cali is a productivity tool, not professional tax or accounting advice. Always consult a qualified accountant before making HMRC submissions. See clauses 6, 7, and 12 for full liability limitations.
These Terms of Service ("Terms") govern your access to and use of Cali, a web application operated by Southkey Holdings Ltd ("we", "us", "our", "the Company"), accessible at cali.zone and southkey.io. By creating an account, clicking "I agree", or using the service in any way, you enter into a legally binding contract with Southkey Holdings Ltd and agree to be bound by these Terms in full. If you do not agree to these Terms, you must not access or use Cali.
You must be at least 18 years old and have the legal capacity to enter into a binding contract under the laws of England and Wales. By using Cali you confirm that you meet these requirements. The service is available worldwide and is designed to assist with expense management and tax-compliant record-keeping across multiple countries. Use of the service is subject to the laws of your local jurisdiction, and we make no representations that the service complies with the specific tax laws of every jurisdiction.
To use Cali you must create an account. You agree to provide accurate, current, and complete information including your name, email address, and phone number. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorised use of your account at [email protected]. By registering, you consent to us collecting and processing your personal data as described in our Privacy Policy, including your name, email address, phone number, and financial data contained in your receipts.
Cali offers a 7-day free trial (payment card required to start) followed by a paid subscription (unlimited receipts, Excel export, and additional features) billed monthly at the price displayed at the time of subscription. Payments are processed securely by Stripe. Subscriptions renew automatically unless cancelled before the renewal date. You may cancel at any time via the billing portal in Settings. No refunds are provided for partial subscription periods unless required by applicable UK consumer law. We reserve the right to change pricing with 30 days' notice.
You agree to use Cali only for lawful purposes and in accordance with these Terms. You must not: (a) upload content that is unlawful, fraudulent, or infringes any third-party rights; (b) attempt to gain unauthorised access to any part of the service or its infrastructure; (c) use the service to process receipts or expenses on behalf of third parties without their explicit consent; (d) reverse-engineer, decompile, or otherwise attempt to extract the source code of the service; (e) use automated tools, bots, or scrapers to access or extract data from the service; (f) upload false, fabricated, or altered receipts for the purpose of fraudulent tax claims; (g) use the service in any way that could damage, disable, or impair the service or interfere with other users. Breach of this clause may result in immediate account termination and may be reported to relevant authorities.
Cali uses artificial intelligence to extract data from receipt images you upload. THE AI EXTRACTION IS PROVIDED STRICTLY AS A CONVENIENCE TOOL AND IS NOT WARRANTED TO BE ACCURATE, COMPLETE, OR FIT FOR ANY PARTICULAR PURPOSE. You are solely and entirely responsible for reviewing, verifying, and correcting all AI-extracted data before relying on it for any purpose, including but not limited to tax returns, HMRC submissions, expense claims, accounting records, or financial reporting. SOUTHKEY HOLDINGS LTD EXPRESSLY DISCLAIMS ALL LIABILITY FOR ERRORS, OMISSIONS, OR INACCURACIES IN AI-EXTRACTED DATA. Any tax or financial consequences arising from reliance on AI-extracted data are entirely your responsibility.
Cali is a productivity and record-keeping tool only. NOTHING IN THE SERVICE CONSTITUTES PROFESSIONAL TAX, ACCOUNTING, LEGAL, OR FINANCIAL ADVICE. The categories, HMRC codes, VAT calculations, and mileage rates shown in the app are provided for general guidance only and may not reflect your specific circumstances or the most current HMRC rules. You should always consult a qualified and regulated accountant, tax adviser, or solicitor before making any tax or financial decisions. Southkey Holdings Ltd accepts no liability for any tax penalties, interest, fines, or financial losses arising from your use of the service.
Cali and all content, features, and functionality (including but not limited to software, algorithms, text, design, graphics, and trademarks) are owned by Southkey Holdings Ltd and are protected by UK and international intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable licence to use the service for your personal or internal business expense management purposes only. You retain ownership of all receipt images and data you upload. You grant Southkey Holdings Ltd a limited licence to process your data solely for the purpose of providing the service to you.
Southkey Holdings Ltd processes your personal data in accordance with UK GDPR and the Data Protection Act 2018. By using the service you consent to the collection, storage, and processing of your personal data (including name, email, phone number, and financial data) as described in our Privacy Policy. We implement appropriate technical and organisational security measures to protect your data. Receipt images are stored in encrypted cloud storage. We do not sell your personal data to third parties. You have the right to access, correct, or delete your personal data at any time by contacting [email protected].
Cali integrates with third-party services including Stripe (payment processing) and AI providers (receipt extraction). Your use of these services is subject to their respective terms of service and privacy policies. Southkey Holdings Ltd is not responsible for the practices, availability, or accuracy of any third-party services. We are not liable for any loss or damage arising from your use of or reliance on third-party services.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, CALI IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED OR ERROR-FREE OPERATION. We do not warrant that the service will be available at all times, that data will not be lost, or that the service is free from viruses or other harmful components. We reserve the right to suspend, modify, or discontinue the service at any time with or without notice.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW: (a) SOUTHKEY HOLDINGS LTD, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, CONTRACTORS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING FROM OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE CALI, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES; (b) OUR TOTAL AGGREGATE LIABILITY TO YOU IN RESPECT OF ALL CLAIMS SHALL NOT EXCEED THE GREATER OF (i) THE TOTAL AMOUNT YOU PAID TO US IN THE 12 MONTHS IMMEDIATELY PRECEDING THE CLAIM, OR (ii) £50 (FIFTY POUNDS STERLING); (c) NOTHING IN THESE TERMS LIMITS LIABILITY FOR DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE, FRAUD, OR FRAUDULENT MISREPRESENTATION, OR ANY OTHER LIABILITY THAT CANNOT BE EXCLUDED BY LAW.
You agree to indemnify, defend, and hold harmless Southkey Holdings Ltd, its directors, officers, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of or access to Cali; (b) your breach of these Terms; (c) your violation of any applicable law or regulation; (d) any content you upload to the service; (e) any fraudulent, false, or misleading information you provide; or (f) any claim by a third party arising from your use of the service.
We may suspend or terminate your account immediately and without notice if you breach these Terms, engage in fraudulent activity, or if we reasonably believe your use of the service poses a risk to us, other users, or third parties. We may also terminate the service entirely with 30 days' notice. You may delete your account at any time via the Settings page. Upon termination, your right to use the service ceases immediately. We may retain your data for a period required by applicable law or legitimate business purposes, after which it will be deleted in accordance with our Privacy Policy.
We may update these Terms from time to time to reflect changes in the law, our services, or our business practices. We will notify you of material changes by email or via an in-app notification at least 14 days before the changes take effect. Your continued use of Cali after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the service and delete your account.
These Terms are governed by and construed in accordance with the laws of England and Wales. Any dispute, controversy, or claim arising out of or in connection with these Terms or the service shall be subject to the exclusive jurisdiction of the courts of England and Wales. Nothing in these Terms affects your statutory rights as a consumer under UK law, including your rights under the Consumer Rights Act 2015.
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect. These Terms, together with our Privacy Policy and any subscription agreement, constitute the entire agreement between you and Southkey Holdings Ltd with respect to your use of Cali.
